10.2 Payment Authorization

10.3 Third-Party Payment Processors
Transactions are processed through third-party payment providers. Sensalix is not responsible for errors caused by third-party payment processors.
11. Shipping; Title; Risk of Loss
Products ship via third-party carriers to U.S. and select international addresses. You must provide accurate shipping information. Title and risk of loss transfer to you upon delivery by the carrier.
Shipping dates are estimates only. International customers are responsible for any applicable customs duties, taxes, or fees.
12. Delivery Confirmation
Carrier delivery confirmation shall be deemed conclusive proof of delivery to the address provided by you, even without a signature.
13. Returns & Refunds
Our Refund Policy governs all returns. Generally, all sales are final. Approved refunds are processed to the original payment method. Shipping fees are non-refundable.

VIP membership provides automatic recurring charges and shipments. Your first membership charge occurs 14 days after your initial purchase. Subsequent charges occur every 28 days thereafter. By enrolling, you authorize these recurring charges until cancellation.

14.3 Automatic Renewal
UNLESS YOU CANCEL IN ACCORDANCE WITH THESE TERMS, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE THEN-CURRENT RATE.
Subscriptions automatically renew unless cancelled. Order confirmations detail renewal terms, charges, cancellation methods, and cancellation links.
14.4 How to Cancel
You may cancel your subscription through:

Cancellation requires at least 24 hours' advance notice before the next billing date. No phone calls or retention flows are required.
14.5 Account Updater Disclosure
Automatic account updater services may refresh stored payment information from card issuers. You may opt out by removing stored payment methods or cancelling your subscription.
14.6 Failed Payments
Failed charges may be retried. You authorize us to contact you for updated payment information. Continued enrollment reaffirms your authorization to charge stored payment methods.
14.7 California Subscriber Rights
California residents receive additional protections under state automatic renewal laws. The first membership charge occurs 14 days after initial purchase, with subsequent renewals every 28 days at then-current pricing. Cancellation is available through account portals or email. Full refunds are issued for unauthorized charges where required disclosures were not provided.
15. SMS / Mobile Messaging Program
By opting into our mobile messaging program, you consent to receive autodialed or prerecorded marketing and transactional text messages. You may opt out at any time by replying STOP to any message. You must be 13 years of age or older to participate.
16. User Content; Reviews & Submissions
By submitting reviews or other content, you grant Sensalix a perpetual, worldwide, royalty-free license to use such materials for business and marketing purposes. You represent that you own all rights to the content you submit and that your submissions are not misleading.
We reserve the right to remove content and suspend users for violations of these Terms.
17. Disclaimer of Warranties
THE WEBSITE, PRODUCTS, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SENSALIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY. 18. Limitation of Liability
Sensalix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or data, regardless of the theory of liability.
18.1 Cap on Direct Damages
SENSALIX'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SENSALIX DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
18.2 Allocation of Risk
The pricing of our products reflects the allocation of risk set forth in these Terms.
19. Indemnification
You agree to defend, indemnify, and hold harmless Sensalix and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms, misuse of the Website, violation of any law, or infringement of any third-party rights, including reasonable attorneys' fees.
20. Limitation on Time to File Claims
ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, ANY PRODUCT, OR ANY SUBSCRIPTION SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. CLAIMS NOT FILED WITHIN THIS PERIOD ARE PERMANENTLY BARRED.
21. Dispute Resolution; Binding Arbitration
21.1 Agreement to Arbitrate
YOU AND SENSALIX AGREE TO RESOLVE ALL DISPUTES EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION.
21.2 Federal Arbitration Act
The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation, enforcement, and proceedings under this arbitration agreement.
21.3 Mandatory Pre-Arbitration Notice
Before initiating arbitration, the initiating party must send a written notice by certified mail to: Boonesa Tech LLC, Attn: Legal Department, 450 Southland Dr, Lexington, KY 40503. The parties shall engage in a 30-day good-faith resolution attempt before filing for arbitration.
21.4 Reservation of Self-Help Remedies
Sensalix may pursue lawful self-help remedies including chargebacks, collection efforts, account suspension, and payment enforcement.
21.5 Arbitration Procedure
The American Arbitration Association shall administer arbitration under its Consumer Arbitration Rules before a single arbitrator. The arbitrator may award all remedies available under applicable law.
21.6 Arbitration Cost Allocation
AAA Consumer Arbitration Rules govern fee payment. Sensalix will bear arbitration fees exceeding court filing costs. Each party bears its own attorneys' fees unless applicable law provides otherwise.
21.7 Small Claims Exception
Either party may bring an individual action in small claims court.
21.8 Equitable and Protective Relief
Sensalix may seek injunctive relief in state or federal courts for claims involving intellectual property, confidential information, fraud, or website violations that may cause irreparable harm.
21.9 Public Injunctive Relief
Claims for public injunctive relief shall proceed in a competent court. All other claims remain subject to binding arbitration.
22. Class Action Waiver
YOU AND SENSALIX AGREE THAT ALL DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, ACT AS A CLASS REPRESENTATIVE, ACT AS A PRIVATE ATTORNEY GENERAL, OR CONSOLIDATE YOUR CLAIMS WITH THOSE OF ANY OTHER PERSON.
23. Mass Action Waiver
"Mass Actions" involving 25 or more similar demands within 180 days shall not proceed without the consent of Sensalix. Claims shall be batched in groups of no more than 200, with separate arbitrators assigned to each batch.
23.1 Batching Procedure
Multiple batches shall be processed sequentially. Statutes of limitation are tolled during batching periods.
23.2 Special Master
A neutral Special Master may be appointed to resolve procedural Mass Action disputes.
24. Jury Trial Waiver
IF ANY DISPUTE PROCEEDS IN COURT, YOU AND SENSALIX WAIVE THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY LAW.
25. Opt-Out Right
You may opt out of the arbitration agreement within 30 days of acceptance by sending certified mail to Boonesa Tech LLC, Attn: Legal Department, 450 Southland Dr, Lexington, KY 40503. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
26. Claim-Specific Severability
If any portion of the arbitration agreement is found unenforceable as to a specific claim, that claim shall proceed in court while all other claims remain subject to arbitration.
27. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
28. Force Majeure
Sensalix shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, governmental actions, or carrier delays.
29. Third-Party Websites & Links
Sensalix is not responsible for the content, practices, or legality of any third-party websites linked from our Website.
30. DMCA Notice; Intellectual Property
Copyright infringement notices should include: identification of the copyrighted work, location of the infringing material, your contact information, a good-faith belief statement, and a statement of accuracy under penalty of perjury.
31. Assignment
You may not assign your rights or delegate your obligations under these Terms without our prior written consent. Sensalix may assign or transfer these Terms without restriction in connection with mergers, acquisitions, or corporate reorganizations.
32. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and authorized by a company representative.
33. Severability
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed without affecting the validity of the remaining provisions.
34. Termination
These Terms remain effective until terminated. Sensalix may suspend or terminate your access for violations of these Terms. Provisions relating to intellectual property, disclaimers, liability limitations, indemnification, dispute resolution, and payment obligations shall survive termination.
35. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sensalix regarding your use of the Website and purchase of products.
